1. Introduction

Welcome to Infymind (“Company,” “we,” “our,” “us”). These Terms & Conditions (“Terms”) establish a legally binding agreement governing your access to and use of Infymind’s website, digital platforms, and services, including our AI-powered voice and chat agents (“Smart Reps”), automation systems, and consulting services (collectively, the “Services”).

By using our Services, you confirm that you:

  • Have read and understood these Terms in full.
  • Accept and agree to be bound by them.
  • Are legally competent to enter into binding agreements under applicable law.

If you do not agree with any provision, you must refrain from accessing or using our Services.

These Terms shall be interpreted in accordance with Irish law and applicable EU regulations, and are supplemented by our Privacy Policy and Cookie Policy, which govern data protection and personal information handling.

2. Services Provided

Infymind provides technology solutions that combine artificial intelligence and automation to improve customer engagement and business efficiency. Our Services include but are not limited to:

  • Smart Reps: AI chat and voice agents available 24/7, capable of engaging customers, answering FAQs, qualifying leads, and supporting onboarding processes.
  • Automation Systems: Workflow automation tools that integrate with CRMs, communications platforms, and business applications to reduce manual workload.
  • AI Consulting: Expert guidance and strategic advisory to design, deploy, and scale AI solutions tailored to client needs.

We reserve the right to add, modify, suspend, or discontinue any portion of the Services at our discretion. If substantial changes materially impact users, we will provide reasonable notice in accordance with Irish consumer law.

3. Eligibility

Use of the Services is restricted to individuals and entities who are:

  • At least 18 years of age; and
  • Possess the legal authority to enter into binding contracts in their jurisdiction.

By using our Services, you represent and warrant that you meet these eligibility requirements.

4. Intellectual Property

All intellectual property rights relating to Infymind’s Services, including software code, algorithms, training data, text, graphics, logos, service marks, designs, and trade names, are and shall remain the exclusive property of Infymind or its licensors.

Users may not, under any circumstances:

  • Copy, reproduce, modify, distribute, publish, or display any part of the Services without prior written authorization.
  • Reverse-engineer, decompile, or disassemble our software or algorithms.
  • Misuse trademarks or logos in ways that may cause confusion.

Any unauthorized use constitutes a violation of Irish and EU intellectual property laws and may result in legal action.

5. Acceptable Use

You agree to use our Services responsibly and lawfully. Prohibited activities include, but are not limited to:

  • Using Services for fraudulent, unlawful, or harmful purposes.
  • Uploading or transmitting defamatory, discriminatory, obscene, or illegal content.
  • Attempting to bypass or compromise the security of Infymind’s systems.
  • Engaging in unauthorized scraping, data mining, or data harvesting.

Infymind reserves the right to suspend or terminate access immediately if a breach of this Acceptable Use clause occurs.

6. Fees, Payments & Refunds

Certain Services are offered on a paid basis. By purchasing or subscribing, you agree to the following:

  • Billing: Fees are payable in advance unless otherwise specified in a signed agreement.
  • Payment Methods: Accepted payment methods include credit card, bank transfer, or other methods as indicated on our website.
  • Auto-Renewal: Subscription-based Services automatically renew unless canceled in accordance with our cancellation policy.
  • Refunds: Refunds are issued solely in compliance with the Irish Consumer Rights Act 2022 and the EU Consumer Rights Directive 2011/83/EU, unless otherwise specified in writing.

7. Data Protection & Privacy

7.1 Legal Framework

7.3 Purposes of Processing

Data is processed for:

  • Service delivery and customer support.
  • Performance optimization and AI training (in compliance with anonymization standards).
  • Fulfilling contractual and legal obligations.
  • Marketing communications, when consent has been provided.

7.4 Lawful Bases

Processing is based on:

  • Consent.
  • Contractual necessity.
  • Legitimate interests balanced with user rights.
  • Legal obligations.

7.5 Data Retention

Personal data is retained only as long as required for the purposes collected or until a valid erasure request is received, except where longer retention is mandated by law.

10. Warranties & Disclaimers

  • Infymind provides Services “as is” and “as available” without express or implied warranties of merchantability, fitness for purpose, or uninterrupted functionality.
  • While Infymind endeavors to maintain high standards of performance, we do not warrant that Smart Reps will always respond error-free due to the probabilistic nature of AI models.
  • We disclaim liability for outcomes resulting from user misuse, third-party system failures, or force majeure events.

11. Limitation of Liability

To the maximum extent permitted by Irish law:

  • Infymind shall not be liable for indirect, incidental, punitive, or consequential damages.
  • Aggregate liability shall not exceed the total fees paid for Services in the 12 months prior to the claim.

This limitation does not exclude liability where prohibited by law (e.g., fraud, gross negligence, or death/personal injury caused by negligence).

12. Indemnification

You agree to indemnify, defend, and hold harmless Infymind, its directors, officers, employees, and affiliates from any claim, liability, or expense arising from:

  • Breach of these Terms.
  • Misuse of our Services.
  • Violation of applicable laws or third-party rights.

13. Force Majeure

Infymind shall not be held liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, pandemics, cyberattacks, government actions, or failures of telecommunications infrastructure.

14. Modification of Terms

Infymind may amend these Terms periodically. Material changes will be notified by email or website announcement. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ireland and applicable European Union law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Dublin, Ireland.
